The outcome we are seeking is: guidance regarding who should contact CalTrans and other funding sources to complete the financial analysis sections, guidance as to what should be done to generate more detailed site preparation and hangar construction cost estimates and any other feedback the supervisors would like to provide. PRIVATE PORTABLE HANGAR AGREENMNT LITTLE RIVER AIRPORT LITTLE RRVER, CA THIS AGREEMENT AND PERMIT. made and entered into on this ___ day of ___ by and between: The COUNTY OF MENDOCINO, acting by and through its Board of Supervisors and hereinafter referred to as "COUNTY", and hereinafter referred to as "PERMITTEE". WITNESSETH: WHEREAS, COUNTY owns and operates an airport known as the LITLE RIVER AIRPORT (hereinafter called "Airport") located near Little River, County of Mendocino. State of California; and WHEREAS, PERMITTEE desires to utilize the premises for the erection of a Portable Type Hangar in connection with and located on the Airport; and WHEREAS, pursuant to the provisions in Paragraph 8.64.030(H), "Installation of Privately Owned Hangars", of Ordinance No. 3347 adopted 7 July 1981, COUNTY is willing to permit installation of a portable type hangar by PERMITTEE at the Airport upon the terms, conditions and considerations hereinafter stated. NOW THEREFORE, in consideration of the promises, conditions, mutual covenants and agreements herein contained, COUNTY and PERMITTEE agree as follows: SECTION 1. DURATION QF AGREENMNI This Agreement shall cover the period commencing and ending unless otherwise terminated pursuant to Section V of this agreement or otherwise modified or extended by written addendum hereto that has been fully executed by both COUNTY and PERMITTEE. SECTION II. AIRPORT PERIMIT A. General Permit Conditions 1. In connection with the public use of the facilities and operation, PERMITTEE is authorized to use the Airport and that certain designated area pertaining thereto that are now or will hereinafter be provided by COUNTY. PERMITTEE'S use shall be subject to and in accordance with all regularly and operational procedures of the Airport or aa, hereinafter set forth and authorized. 2. This Airport Permit is in common with all other operators so authorized and does not grant PERMITTEE any preferential or exclusive right of use of the Airpott or any of its facilities. 3. This Airport Permit shall not allow PERMITTEE to operate any concessions or provide any services to the general public. 4. This Airport Permit shall create a possessory interest in your name, on the private portable hangar that will be subject to the payment of those property those property taxes levied on such possessory interest B. Permit Authorizations 1. Ingress and Egress: PERMITTEE shall have the nonexclusive right of ingress and egress to and from the hangar site across established roadways. 2. Building Location: PERMITTEE is authorized to construct, place or otherwise locate a COUNTY approved building on the site as shown on the attached Exhibit No. A. which shall become a part hereof. The building is for the express purpose of providing secured and covered parking for PERMITTEE's private airplane. PERMITTEE shall not unnecessarily interfere with other airport operations. Any and all costs of relocation, operation and maintenance of the building shall be borne entirely by PERMITTEE. 3. Building Pads: PERMITTEE may install an asphalt concrete or cement concrete pad beneath the portable hangar. If PERMITTEE elects to construct such pad, PERMITTEE shall remove the pad in the event the portable hangar is relocated or removed from the Airport. PERMITTEE shall advise the new owner of the portable hangar of removal responsibility in the event the hangar is sold in place. SECTION III. PERMITTEE 1. Rules and Regulatiom: PERMITTEE shall obey all applicable rules and regulations of COUNTY and other agencies of the State or Federal Governnient relating to the use of facilities of the Airport. This includes all fire, safety and health regulations, as well as rules and regulations relating to use of the area specifically designated for tie-down and outdoor parking of aircraft. PERMITTEE shall obey the Laws and Regulations of the United States, the State of California, and County of Mendocino, together with the lawful orders, regulations and directions of any authorized representative of the COUNTY. To the extent of the PERMITTEE's use of County property, PERMITTEE shall obey and otherwise comply with all rules and regulations of the Airport imposed by the State Fire Marshall, County Safety Officer and all applicable Federal Aviation Regulations, all at PERMITTEE's expense. 2. Permit Fee: As compensation for the issuance of this PERMIT, PERMITTEE shall pay COUINTY the following: A monthly fee at a rate which is equal to the monthly tie-down fee currently in effect for the type of aircraft the portable hangar is designed to house, or corresponding to any new tie-down fee which may subsequently be adopted by Resolution of the Board of Supervisors. Said fee shall be paid, in advance, through the Airport Supervisor or, if so instructed, directly through the Office of the Director of Public Works. 3. Hangar Site Use Fee: PERMITTEE shall also pay annually to COUNRY the sum of One Dollar ($1.00) for use of the hangar site as shown on the attached Exhibit A. Said fee shall be paid, in advance, through the Office of the Director of Public Works. 4. Utilities: (a) In the event PERMITTEE has made or will make arrangements for separate electric and telephone service to accommodate PERMITTEE's opeeration, PERMITTEE shall make payment directly to the applicable utility company for all costs of connectioct and service (b) All utility hookup/connections shall be in accordance with applicable permit procedures and regulations. (c) PERMITTEE agrees to provide for all service connections at no expense to COUNTY. 5. Building Permits: PERMITTEE shall obtain a Building Permit, if applicable, for the type of private hangar to be installed. 6. Indemnity: PERMITTEE shall indemnify and hold harmless COUNTY, its elected or appointed officials, employees, or volunteers against any claims, actions ot demands against them, or any of them, and against any damages, liabilities or expenses. iocluding costs of defense and attorneys fees, for personal injury or death or for loss or damage to property, or any or all of them, arising out of or in any way connected with the activities of PERMITTEE pursuant to this agreement. 7. Liability Insurance: PERMITTEE shall provide at PERMITTE's own expense insurance covering bodily injury and property damage to all persons using hangar in a minimum amount of five hundred thousand dollars ($500,000) each person and one million dollars ($1,000,000) for each occurrence, and property damage in a minimum amount of three hundred thousand dollars ($300,000) for each occurrence. PERMITTEE shall name COUNTY as additional insured, and shall furnish to COUNTY a Certificate of Insurance as evidence that said insurance has been obtained. PERMITTEE shall keep said insurance in force throughout the entire term of this agreement. 8. Insurance: PERMITTEE shall not store a motor vehicle in the private portable hangar while the aircraft identified herein is in use, unless (1) the COUNTY is named as an additional insured on the automobile insurance policy, (2) a copy of said policy is provided to the County, and (3) and Automobile Liability Endorsement is executed by an officer of the insuring company and received by COUNTY. The Automobile Liability Endorsement vith with policy amendments and minimum limits of coverage acceptable to COUNTY is available from the County Risk Manager, General Services Department, Courthouse, Ukiah, CA 95482. 9. Hangar Type: The style size and color of the private portable hangaer to be erected on the assigned site shall be subject to prior approval by COUNTY. 10. Assignment: PERMITTEE shall not at any time assign this agreement or any part thereof without the written consent of COUNTY. 11. Building Maintenance: Maintenance and janitorial requirements of PERMITTEE's building shall be provided for by PERMITTEE at no expense to COUNTY. PERMITTEE shall provide for routine grounds keeping of the designated area so it is maintained in an orderly and well kept manner. SECTION IV. ISSUANCE OF PERMIT 1. COUNTY shall issue an Airport Permit to PERMITTE in accordance with and pursuant to Section H of this Agreement. 2. COUNTY shall accept the payments specified in Part 2 and 3 or Section III of this Agreement as compensation for the issuance of the Airport Permit and use of the designated hangar site. SECTION V. TERMINATION OF AGREEMENT 1. This Agreement shall automatically terminate on _______ unless terminated earlier or otherwise extended by written Agreement executed by both parties. 2. This Agreement may be terminated by either party upon ninety (90) days written notice from either party to the other. 3. Notwithstanding any other conditions of this Agreement, COUNTY reserves the right to terminate or otherwise revoke the Airport Permit immediately without liability for any loss sustained by PERMITTEE from such termination, upon the occurrence of any of the following events. (a) Continued violation of the terms of this permit thirty (30) days after written notice of such violation. (b) The filing by, or against, PERMITTEE of any petition in bankruptcy either voluntarily or involuntarily. (c) The making or entering into, by PERMITTEE, of any general assignment for the benefit of creditors. (d) The abandonment, or removal. of PERMITTEE's hangar from Little River Airport. (e) Any other material breach of this contract. 4. I'm 99% sure Mr. Loy wants to remain on the committee - he has been very active in working on our current project (a report on additional hangars at the airport). Dave Brewer made copies of the appointment interest form and mailed them for me to Willow Trent and Trey Loy, so they should be equipped to respond properly. I'll try to phone Willow Trent this evening. I know she's been very busy at the hospital, so there is a slim chance she may want to resign. The reason I asked if Mark is a pilot is because the much debated resolution forming the AAC called for it to have 7 members, 3 pilots, 3 non-pilots and one business member (who has been a non-pilot so far). The balance between pilots and non-pilots has been a hot topic for everyone, so it would be very helpful to preserve it. Wilow Trent and Trey Loy are both non-pilots. If either chooses to resign, we should try, if possible, to find a non-pilot replacement. I am also a member of the Little River Airport Advisory Committee. At the last Airport Advisory Committee meeting we held, we were informed that the $1.00 annual rental for the airport land the fire station is using is in arrears and has been in arrears for three years. I would like to authorize payment on behalf of the Albion-Little River Fire Protection District of this rental and also make arrangements to pay the rental on time when it is due every year. Trey and I spent some time at the airport looking at and measuring the various proposed hangar sites. Following are my comments on each: A. This is the least desireable. It would be expensive to bring in a taxiway and the land should be put to some other use. It is a beautiful spot. B. This is useable if it were graded reasonably flat and had an upramp from the existing apron. Trey has an idea of a continuously sloped taxiway and level hangar sites. I'm not sure about that idea. There is plenty of room here. C. This is the best location. There is room for about 20 hangars between the last existing hangar and a north-south ditch down to the ravine. There is room between the taxiway and the ravine to meet the existing setbacks. The small ditch parallel to the taxiway could be eliminated. D. This is the next best location. There is plenty of room to build hangars and additional tiedowns. E. This one would require quite a bit of paving and it appeared to my eye that the space is limited. Willow may need to submit an interest form--I have not checked with our appointments clerk. And I still don't know if Gardner is a pilot or not--can't reach him. But Willow should be assured, whatever her ultimate interests in serving on the committee, that Gardner looks like a pretty good choice, have worked as an engineer, I believe, on Kennedy Airport and the World Trade Center.
